These Terms of Service (the “Terms”) govern your access to and use of spin-world.com (the “Site”) operated by Spin Master Ltd. (“Spin Master,” “we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
All data, information, materials, assets, content and software made available through the Site, including but not limited to images, videos, text, software, logos, trademarks, and any related marketing materials (collectively, the “Materials”), are and shall remain the exclusive property of Spin Master. Spin Master owns all intellectual property rights in the Materials, including all copyright, trademark, and patent rights, as well as all rights in any modifications, adaptations, or derivative works created from the Materials. No rights or licenses are granted except as expressly set forth herein.
Without limiting any confidentiality obligations contained in any confidentiality agreement executed between you and Spin Master, you acknowledge and agree that all Materials accessed through the Site are confidential and proprietary to Spin Master. You shall maintain the confidentiality of the Materials and shall not disclose, distribute, or use them except as expressly permitted by Spin Master in writing.
Spin Master grants you a limited, non-exclusive, non-transferable license to access and use the Materials solely for the purpose of promoting and distributing Spin Master products in your authorized territory for so long as you remain an authorized distributor. Any marketing or other materials created by you that incorporate or reference the Materials must be submitted to Spin Master for review and shall not be used without Spin Master’s prior written approval. Spin Master reserves the right, in its sole discretion, to approve or reject any such materials, provided however, that you are solely responsible for compliance with local laws. You may not sell, redistribute, reproduce, decompile, reverse engineer or disassemble any Materials.
By registering for an account or interacting with the Site, you consent to Spin Master’s collection and use of personal information, including but not limited to your name, email address, phone number, and other contact information, in accordance with Spin Master’s Privacy Policy. Such information may be collected during the account registration process or through your use of the Site.
While we endeavor to keep downtime to a minimum, we can't promise that this Site or the Services will be uninterrupted, secure or error-free. We reserve the right to interrupt/suspend this Site or the Services, or any part thereof, with or without prior notice for any reason and you shall not be entitled to any refunds of fees for interruption of this Site or the Services. Spin Master may suspend or terminate your access to the Site at any time, with or without cause, and without liability. Upon termination, you must immediately cease all use of the Materials and destroy any copies in your possession.
You agree to indemnify, defend, and hold harmless Spin Master, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site or Materials; (b) your breach of these Terms; or (c) any marketing or other materials created by you.
THE SITE AND MATERIALS ARE PROVIDED “AS IS” WITHOUT REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED REPRESENTATIONS, WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SPIN MASTER DOES NOT REPRESENT OR WARRANT THAT THIS SITE OR THE MATERIALS WILL MEET YOUR REQUIREMENTS, THAT THEIR USE WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPIN MASTER SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE SITE OR MATERIALS.
YOU ASSUME ALL RESPONSIBILITY AND RISK FOR USE OF THIS SITE AND THE MATERIALS INCLUDING WITHOUT LIMITATION ANY OF THE INFORMATION CONTAINED THEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPIN MASTER SHALL NOT BE LIABLE FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, CONSEQUENTIAL OR OTHER SIMILAR DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF PROFITS, INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING FROM YOUR USE OF THE SITE, MATERIALS OR THESE TERMS. SPIN MASTER'S TOTAL MAXIMUM AGGREGATE LIABILITY UNDER THESE TERMS, USE OF THE SITE OR MATERIALS, SHALL BE LIMITED TO ONE THOUSAND ($1000) US DOLLARS.
SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
These Terms constitute the entire agreement between you and Spin Master regarding your use of the Site and supersede all prior agreements, understandings, and representations.
Spin Master shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, labor disputes, government actions, pandemics, or interruptions in internet or telecommunications services.
Spin Master reserves the right to modify or update these Terms at any time, in its sole discretion. Any changes will be effective upon posting to the Site. Your continued use of the Site after such changes constitutes your acceptance of the revised Terms.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
